Acceptance

These Terms of Use govern access to and use of www.iveristrategies.com (the “Website”), operated by IVERIS STRATEGIES LTD (“IVERIS”). They apply together with the Legal Notice, the Privacy Notice, and the Cookies Notice. By accessing or using the Website, you accept these Terms. If you use the Website on behalf of an organization, you accept them on its behalf. If you do not accept them, please do not use the Website.

Eligibility and restricted persons

The Website is intended for professional, institutional, and sophisticated audiences aged 18 or over. You may not use the Website where doing so would breach the laws that apply to you, or if you are, or act on behalf of, a person subject to sanctions administered by the United Nations, the United States, the European Union, the United Kingdom, or any other competent authority.

Permitted use

You may use the Website for personal and professional informational purposes. You may not:

• scrape, crawl, harvest, or extract content or data by automated means, including to train or supply artificial intelligence systems;

Intellectual property

The Website and its content, including text, design, graphics, images, video, software, and the IVERIS name, wordmark, and logo, are owned by or licensed to IVERIS and are protected by intellectual property laws. Apart from the limited right to view the Website under these Terms, no license or right is granted. All rights are reserved.

Linking to the Website

You may link to the Website’s home page in a way that is fair and lawful, does not damage IVERIS’s reputation, and does not suggest any association, approval, or endorsement that does not exist. You may not frame the Website or link to any other page without IVERIS’s written consent. IVERIS may withdraw linking permission at any time.

No advice and no offer

Nothing on the Website constitutes investment, legal, tax, fiduciary, securities, or banking advice, or a recommendation of any kind. Nothing on it is an offer, invitation, or solicitation to buy or sell any security, token, or financial product, or to enter into any transaction, in any jurisdiction. You should obtain independent professional advice before making any decision.

IVERIS is not regulated as a bank, broker, investment adviser, investment manager, or money transmitter. Regulated activity within engagements is performed by licensed counterparties under their own authority.

No client relationship

Using the Website, requesting Insights, or submitting a Private Inquiry does not create a client, advisory, fiduciary, or agency relationship with IVERIS. A relationship arises only under a written agreement signed by IVERIS, and client acceptance is at its discretion.

Unsolicited information and ideas

IVERIS welcomes inquiries but does not seek unsolicited proposals, business plans, transaction opportunities, or other materials. If you send such materials, through the Website or otherwise, before a written agreement is in place:

• IVERIS will handle them confidentially, as described in the Privacy Notice, but no contractual duty of confidentiality arises;
• IVERIS has no obligation to review or use them, or to compensate you for them; and
• receiving them does not limit IVERIS’s freedom to pursue, independently or with others, matters, structures, or opportunities similar to them.

Confidentiality, non-circumvention, and fee obligations arise only under a written agreement signed by IVERIS. Please do not send confidential information until such an agreement is in place.

Insights and website content

Insights and other content reflect views as at their date of publication, may be general in nature, and may not be updated. References to past matters and statements about the future are subject to the Legal Notice. IVERIS may change, suspend, or withdraw any content at any time without notice.

Availability and security

IVERIS does not guarantee that the Website will always be available or free of viruses or other harmful components; you are responsible for your own protections. IVERIS may suspend, restrict, or withdraw access to all or part of the Website, or for any user, at any time and without notice, and may monitor use of the Website to protect its security and integrity.

No representations or warranties

The Website and its content are provided “as is” and “as available”. To the fullest extent permitted by law, IVERIS makes no representation or warranty, express or implied, as to their accuracy, completeness, or timeliness, their fitness for any purpose, or that the Website will be uninterrupted, secure, or free of errors.

Limitation of liability

To the fullest extent permitted by law, neither IVERIS nor its directors, officers, partners, advisors, employees, or agents will be liable for any direct, indirect, incidental, consequential, special, or punitive loss or damage, including loss of profit, data, business, or opportunity, arising from or related to the use of, inability to use, or reliance on the Website or its content. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnity

You agree to indemnify IVERIS against any claim, loss, or expense, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Website.

Third-party content and links

The Website may link to third-party websites, such as professional profiles. IVERIS does not control those websites and is not responsible for their content, availability, or privacy practices. A link is not an endorsement.

Privacy

The Privacy Notice and the Cookies Notice explain how IVERIS handles personal information and cookies in connection with the Website.

Governing law and disputes

These Terms, and any dispute arising out of or in connection with them or with the Website, are governed by the laws of the Republic of Panama.

Any such dispute will be finally resolved by arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) under its rules, before a sole arbitrator. The seat of arbitration is Panama City, Republic of Panama. The arbitration will be conducted in English or Spanish, as the parties agree or, failing agreement, as the arbitrator decides.

Either party may seek interim or injunctive relief from any competent court. Nothing in this section deprives a consumer of the protection of the mandatory laws of the country where the consumer lives.

Changes to these Terms

IVERIS may amend these Terms by publishing a new version on this page, with its date. The amended Terms apply from publication, and continued use of the Website means acceptance of them.

General

These Terms, together with the Legal Notice, the Privacy Notice, and the Cookies Notice, are the entire agreement between you and IVERIS regarding use of the Website. They do not govern any engagement, which is governed only by its own written agreement.

If any provision is held invalid or unenforceable, the remaining provisions continue in full force. A failure or delay by IVERIS in enforcing any provision is not a waiver. IVERIS may assign its rights under these Terms; you may not assign yours. The sections on intellectual property, no client relationship, unsolicited information, warranties, limitation of liability, indemnity, and governing law survive the end of your use of the Website.

If there is any inconsistency between the English version of these Terms and a translation, the English version prevails.
